Last updated: November 4, 2026

1. Scope of These Terms

These Terms of Service ("Terms") are an agreement between 曲算高科股份有限公司 (WarpAi) ("the Company", "we") and the business or organization using WarpAi Enterprise-Sovereign AI ("the Service") ("the Customer", "you"). By registering for, accessing or using the Service, you confirm that you have read and agree to these Terms. If you accept these Terms on behalf of a business or organization, you confirm that you are authorized to do so.

These Terms and our Privacy Policy together form the entire agreement for your use of the Service. If you have a separate written contract or quotation with the Company, that document prevails in case of conflict.

2. The Service

The Service uses artificial intelligence to help enterprises receive, recognize, classify, name, file, search, query and analyze documents, and is offered in a cloud edition (WarpGRID) and an on-premises edition (WarpEDGE). The features, capacity and service levels of each plan are set out in the contract or quotation signed by both parties.

We continuously update and improve the Service's features and interface, and will notify customers of material changes by appropriate means.

3. Accounts and Access

  • The Customer must provide accurate and complete account information and keep it up to date.
  • The Customer must keep its account credentials secure and is responsible for all activity under its account.
  • The Customer must notify the Company immediately if it discovers unauthorized use of its account.
  • The Customer sets and manages the permissions of users within its own organization.

4. Acceptable Use

The Customer and its users must not:

  • Use the Service in a way that breaks the law or infringes the rights of others.
  • Upload files containing malicious code or unlawful content.
  • Access the Service's systems, data or other customers' data without authorization.
  • Reverse engineer or decompile the Service, or extract data from it in bulk by automated means, unless the Company agrees in writing.
  • Resell or lease the Service, or otherwise make it available to unauthorized third parties.

5. Customer Data and Intellectual Property

All rights in the documents and content the Customer uploads to the Service ("Customer Data") belong to the Customer. The Customer authorizes the Company to process Customer Data only as needed to provide and operate the Service and to carry out the Customer's instructions. The Company does not access or analyze Customer Data for its own purposes and does not use Customer Data to train general-purpose models.

All intellectual property rights in the Service's software, interfaces, AI models, trademarks and documentation belong to the Company or its licensors. Apart from the rights expressly granted in these Terms, the Customer acquires no rights by using the Service.

The Company may freely use any suggestions or feedback the Customer provides about the Service, without compensation.

6. Third-Party Services

The Customer may choose to connect or integrate the Service with third-party services such as Google Workspace, Microsoft 365, NAS or cloud storage. Use of those services is governed by their own terms, and the Company is not responsible for their availability, content or conduct.

The Company's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

7. Fees and Payment

Fees, billing cycles and payment methods are set out in the contract or quotation signed by both parties. Unless required by law or otherwise agreed, fees paid are non-refundable. If the Customer fails to pay when due, the Company may suspend the Service after giving notice.

8. Changes, Suspension and Discontinuation

The Company may temporarily interrupt or restrict the Service for maintenance, security incidents, legal requirements or other reasonable causes, and will give advance notice where practicable. The Company may also modify or discontinue all or part of the Service upon reasonable prior notice.

9. Confidentiality

Each party must keep confidential the non-public information of the other party that it learns through the Service, and must not disclose it to third parties without the other party's written consent, except where disclosure is required by law or a competent authority.

10. Disclaimer

The Service is provided as is. We make reasonable efforts to keep the Service stable and accurate, but we do not guarantee that it will be uninterrupted or error-free, or that AI recognition, classification, search or answer results will be complete and correct. The Customer should verify AI output before relying on it for decisions.

11. Limitation of Liability

To the maximum extent permitted by law, the Company is not liable for any indirect, incidental, consequential or punitive damages, or for loss of business, profits or data, arising from the use of or inability to use the Service. The Company's total liability to the Customer is limited to the fees the Customer actually paid for the Service in the twelve months before the claim arose.

12. Termination

Either party may terminate the Service as provided in the contract. If the Customer materially breaches these Terms and does not remedy the breach within a reasonable period after notice, the Company may terminate or suspend the Customer's use of the Service.

After termination, the Customer may export Customer Data within the period agreed in the contract. After that period, the Company deletes Customer Data in accordance with the Privacy Policy. Customers of the on-premises edition keep their data in their own environment and handle it themselves.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of China (Taiwan). Both parties agree that the Taiwan Taipei District Court is the court of first instance for any dispute arising from these Terms.

14. Changes to These Terms

The Company may revise these Terms from time to time. Material changes will be announced in the Service or notified by email, and the revised Terms take effect on the date stated in the announcement or notice. Continued use of the Service after that date constitutes acceptance of the revised Terms.
